Private Label & Contract Manufacturing Terms

These Terms apply to private-label, white-label, contract-manufacturing and customised fragrance enquiries and projects provided by Roosh Perfumes Industry LLC. They supplement the general Website Terms & Conditions.
Last Updated: September 2026

1. Services

Depending on the project, Roosh may provide perfume manufacturing, fragrance selection or development, filling, bottle sourcing, caps and pumps, labels, artwork implementation, packaging, gift sets, private branding and related manufacturing services. Availability depends on project requirements, quantities, technical feasibility and agreed commercial terms.

2. Website Enquiries

Submitting a private-label enquiry does not create a manufacturing contract or oblige Roosh to accept or manufacture the project. Information is used to evaluate the project and prepare discussions or quotations. A project becomes binding only following the applicable quotation acceptance, purchase order, payment, written acceptance or separate manufacturing agreement required by Roosh.

3. Quotations

Quotations are based on the specifications, quantities and information available when issued and may include product, quantity, MOQ, unit price, fragrance, packaging, development charges, artwork, tooling, testing, regulatory documentation, payment schedule, delivery terms and estimated lead time. Changes may require revised pricing and timelines.

4. Minimum Order Quantities

Private-label projects are subject to the MOQ stated in the applicable quotation. Different components may have different MOQs, particularly bottles, caps, pumps, cartons, printing and customised components.

5. Payment

Payment terms are specified in the quotation or project agreement. Unless otherwise agreed in writing, Roosh is not required to begin procurement, customisation, printing or production until the required advance payment is received.

6. Samples and Development

Samples and prototypes allow the customer to evaluate relevant aspects of the proposed product. Sample appearance may differ from mass production where production tooling, printing, filling, decoration or packaging processes differ from prototype methods. Sample or development fees may apply.

7. Customer Approval

The customer is responsible for reviewing and approving the fragrance, bottle, cap, pump, fill volume, colour, label, artwork, spelling, brand name, packaging, barcode, mandatory information and other agreed specifications. Approval may be given by signature, email, electronic communication or another agreed method. Changes after approval may cause additional costs, delays or rework.

8. Fragrance Approval

Where a fragrance sample is approved, production will follow the approved specification subject to reasonable manufacturing and raw-material variations. Minor variations within applicable specifications or normal manufacturing tolerances do not automatically constitute defects.

9. Packaging and Colour Tolerances

Manufacturing processes involving glass, plastics, printing, coatings, metallisation, labels, cartons and other components may result in reasonable variations between samples, batches or individual units. Commercially reasonable tolerances that do not materially impair function or agreed quality do not by themselves constitute non-conformity.

10. Quantity Tolerance

Where technically necessary, production quantities may be subject to a reasonable agreed overrun or underrun. Any applicable tolerance should be stated in the quotation or manufacturing agreement.

11. Artwork and Text

The customer is responsible for final review of approved artwork and information, including spelling, translations, trademarks, addresses, barcodes, product claims, regulatory wording and market-specific requirements. Roosh is not responsible for errors contained in artwork expressly approved by the customer, except where Roosh independently introduced the error after approval.

12. Customer Trademarks and Intellectual Property

The customer represents that it owns or has sufficient rights to use any trademark, logo, brand name, artwork, photograph, design or other intellectual property supplied to Roosh. The customer must not knowingly instruct Roosh to manufacture products that unlawfully infringe third-party rights. Roosh may refuse or suspend a project where a reasonable legal concern arises.

13. Roosh Intellectual Property

Unless transferred under a separate written agreement, Roosh retains ownership of its pre-existing manufacturing knowledge, processes, methods, templates and other intellectual property. Ownership of newly developed fragrance formulations, custom designs, moulds, tooling or project-specific intellectual property must be determined by the applicable quotation or separate agreement. Payment for product development does not automatically transfer ownership of a Roosh formulation or manufacturing know-how unless expressly agreed in writing.

14. Confidentiality

Each party should treat non-public commercial and technical information as confidential where its nature is apparent or confidentiality has been agreed. A separate NDA may be executed where detailed protection of formulas, pricing, designs or business information is required.

15. Production Lead Times

Lead times are estimates unless expressly guaranteed. Lead time generally begins only after required payment, fragrance approval, artwork approval, packaging approval, receipt of customer-supplied materials and final technical confirmation, as applicable. Customer delays may extend delivery dates.

16. Supply-Chain Changes

If an agreed component becomes unavailable or materially delayed, Roosh will communicate with the customer regarding an appropriate alternative or revised schedule. Material substitutions requiring approval will not knowingly be implemented without approval unless required for safety or legal compliance.

17. Regulatory Requirements

Regulatory requirements differ between countries. Responsibility should be identified for product registration, local notifications, import permits, local-language labelling, product claims, customs requirements, certificates and market-specific compliance. Unless Roosh expressly agrees in writing to perform a destination-market regulatory service, the customer is responsible for confirming that the final product may lawfully be imported, marketed and sold in its intended territory.

18. Customer-Supplied Materials

Where customers supply bottles, packaging, labels, fragrances, components or other materials, Roosh may inspect them for reasonable manufacturing suitability. Roosh is not responsible for defects inherent in customer-supplied materials except where damage is directly caused by Roosh’s failure to exercise reasonable care.

19. Changes After Approval

Changes requested after final approval or commencement of procurement or production may result in additional charges, material wastage, new samples, revised MOQ, new tooling, delayed production or cancellation charges.

20. Cancellation

Private-label and customised products are made specifically for the customer. Projects generally cannot be cancelled without cost after Roosh has commenced fragrance development, procurement, printing, customisation or production. If cancellation is accepted, the customer may remain responsible for completed work, committed supplier costs, customised materials, non-refundable components and other reasonable project-specific costs.

21. Returns

The 14-day retail change-of-mind return policy does not apply to private-label, customised, wholesale or contract-manufactured products. Claims relating to manufacturing defects, shortages or non-conforming B2B goods are handled under the applicable quotation, purchase order, manufacturing agreement and law.

22. Inspection of B2B Orders

Business customers should inspect delivered goods promptly and report visible shortages, shipping damage or apparent manufacturing issues within the claim period specified in the commercial agreement. Latent defects are handled according to the applicable agreement and law.

23. Storage of Completed Goods

Customers must arrange collection, shipping or delivery of completed goods according to the agreed schedule. Where goods remain uncollected beyond the agreed period, reasonable storage charges may apply after notice.

24. Shipping and Risk

Shipping terms for private-label and B2B orders are specified separately. The parties may agree Incoterms, freight arrangements, insurance, customs and transfer-of-risk provisions. The retail Shipping & Delivery Policy does not override separately agreed B2B terms.

25. Rejected or Non-Conforming Products

Where goods materially fail to conform to the agreed manufacturing specification for reasons attributable to Roosh, an appropriate commercial remedy will be determined in accordance with the agreement and law. Depending on the circumstances, this may include correction, rework, replacement, credit or refund.

26. No Exclusivity Unless Agreed

A private-label project does not automatically grant territorial exclusivity, fragrance exclusivity, distributor rights, manufacturing exclusivity or exclusive rights to Roosh capabilities. Any exclusivity must be expressly agreed in writing.

27. Governing Law

Unless another arrangement is expressly agreed in a project-specific contract, these Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Subject to any agreed dispute-resolution provision, the competent courts of Dubai shall have jurisdiction.
